The Company has established an Audit Committee as required by Financial Services Authority Regulation No. 55/POJK.04/2015 on the Establishment and Guidelines for the Work of Audit Committees and the Decree of the Board of Directors of IDX No. Kep. 00001/BEI/01-2014 regarding Amendments to Regulation Number I-A on the Listing of Shares and Equity-Linked Securities Other than Shares Issued by Listed Companies.
Based on the Decree of the Board of Commissioners No. 007/ICSM-LEGAL/BOC/III/2024 on the Appointment of the Audit Committee, the membership composition of the Audit Committee is as follows:
Yakup Putra Hasibuan is an Indonesian citizen. He earned a Bachelor of Science in Business Administration from the University of Southern California, Marshall School of Business, Los Angeles, United States, in 2017, and a Master of Strategic Marketing from Imperial College Business School, London, United Kingdom, in 2019. He also earned a Bachelor of Law from the University of Indonesia in 2017, a Master of Law from New York University School of Law in 2020, and a Certificate in Finance from Harvard Business School in 2020.
Yakup Putra Hasibuan began his career as an Associate at HHP Law Firm from 2017 to 2020. He subsequently served as a Member of the International Relations Division of PERADI from 2020, Managing Partner of Hasibuan & Hasibuan from 2021, President Director of PT Sinarkemala Intermetro Golf from 2021, Commissioner of PT Tiga Sekawan Indonesia from 2021, Head of the International Relations Division of IKADIN from 2022, and Head of the Trade Law Commission of KADIN from 2024. In 2025, he served as President Commissioner of PT Solusi Prisma Metana and Vice Chair for the Practitioners Division of the ASEAN Law Association.
He is an Indonesian citizen. He earned a Bachelor of Science in Business Administration, with a concentration in Entrepreneurship, from Loyola Marymount University, Los Angeles, United States, in 2016.
He has served as a Member of the Company’s Audit Committee since 2026. He also currently serves as Commissioner of PT Jala Mutiara Bumi since 2015 and Commissioner of PT Bumi Alam Teknologi since 2021. Previously, he served as Business Development Manager at PT OCI Material Pratama from 2019 to 2021, Business Development Manager at PT Adedanmas (now PT Suri Motor Indonesia) from June to August 2019, and Head of Business Development and Marketing at PT Surya Perkasa November Abadi (Toyspot Indonesia) from 2017 to 2019.
She is an Indonesian citizen. She earned a Bachelor’s Degree in Accounting from Tarumanagara University, Jakarta, Indonesia, in 2006.
She has served as Partner, Private Client Service at PB Taxand since 2021. Previously, she served as Financial Controller at PT Aksi Visitama (TADA Indonesia) from 2016 to 2017. She also held several positions at PB Taxand, including Senior Tax Manager from 2015 to 2016, Tax Manager from 2013 to 2014, Associate Tax Manager from 2012 to 2013, Tax Supervisor from 2010 to 2012, Senior Associate from 2008 to 2009, and Junior Associate from 2006 to 2007. She began her professional career as a Junior Associate at Deloitte Touche Tohmatsu in 2006.
